DescriptionThe Senior Legal, Regulatory & Compliance Counsel SCOR Europe is the dedicated expert responsible for delivering effective and efficient support on (re)insurance legal, regulatory, compliance and governance matters in respect of the (re)insurance operations and activities of SCOR Europe SE and its branch(es) (“SCOR Europe”). The job holder will also provide support on legal, regulatory, compliance and governance matters relating to other SCOR entities within the EMEA region, as required.
Responsibilities1) Legal and Governance Matters
- Be the dedicated topical expert Be the dedicated topical expert on direct insurance legal matters specific to SCOR Europe, and other SCOR risk carriers as may be required.
- Provide support with reviewing, negotiating, drafting, amending and implementing contractual agreements and related documentation such Outsourcing Agreements, Service Contracts, (re)insurance contracts, commercial agreements and documents etc.
- Manage / provide support on corporate governance matters (with support of Group Corporate Affairs or dedicated local counsel as applicable) such as Powers of Attorney, Corporate Governance documentation and databases, meeting management etc.
- Independently research and investigate legal matters, draft, prepare, organise and distribute legal documents with regard to SCOR Europe’s activities and other SCOR entities within EMEA.
- Ensure that legal and (re)insurance conduct regulatory requirements relating to the direct insurance activities of SCOR Europe (and other SCOR carriers as required) are identified and addressed (“horizon scanning”), provide information and advice to relevant stakeholders and follow-up on required action.
- Provide support and advice on general legal matters as required.
2) Regulatory and Compliance Matters
- Provide advice, assessment, guidance, and support on business conduct and regulatory matters relating to SCOR Europe and, as requested, other SCOR (re)insurance carriers within EMEA, including, but not limited to, compliane with licensing requirements, AML/CFT, data protection and privacy, Insurance Distribution Directive requirements (notably Product Oversight and Governance), anti-bribery, anti-fraud, conflicts of interest, anti-trust, guarantee funds adherence and other general good requirements under locally applicable law, reputational risks and ethics.
- Develop, manage and maintain the Annual Compliance Plan for SCOR Europe, and perform/monitor related actions, including, but not limited to, compliance checks and reporting.
- Support with developing and maintaining an efficient and effective governance and compliance framework for SCOR Europe (and other SCOR entities as may be required), and all matters and tasks related thereto.
- Monitor and ensure compliance with regulatory reporting and notification requirements and prepare relevant reportings, notifications and communications to supervisory authorities.
- Develop, draft and maintain policies, guidelines, processes and procedures specific to SCOR Europe’s business activities, including drafting, review and update of relevant documents for activities carried out by SCOR-external agents (MGAs).
- Identify, monitor and assess business conduct legal and regulatory requirements relevant to SCOR Europe’s direct insurance activities, inform relevant stakeholders of any necessary or recommended actions and accompany/drive the development or implementation of compliance-related processes, prodess documentation, controls and IT tools.
- Develop and provide business compliance training and and knowledge transfer with respect to the insurance business activities of SCOR Europe (and, as time permits other SCOR direct insurance carriers).
3) Other
- Support the Group Compliance Officer, the EMEA Compliance Officer and other members of the SCOR Legal & Compliance function as topical expert for direct insurance activities on relevant legal, regulatory and compliance matters.
- Contribute as a topical expert for direct insurance legal and compliance matters to Group or P&C business unit work-groups or projects, including developing strategy, drafting documents, liaising with internal clients and external advisors as required.
- Contribute to the Group-wide legal and compliance reporting processes, procedures and databases, and collaborate with the wider SCOR Legal & Compliance team and other relevant stakeholders (as applicable).
- Participate and represent SCOR / SCOR Europe as a topical expert in industry seminars and associations as required.
4) Reporting
- The Senior Legal & Compliance Counsel – SCOR Europe reports directly to the Group Chief Legal Counsel Direct Insurance.
QualificationsEducation and professional experience
- Law degree in a European jurisdiction
- 8- 10 years + PQE in a legal practice and/or commercial environment, with a material exposure to the (re)insurance business.
- Excellent knowledge of (re)insurance law and regulations
- A track record of having the ability to accurately assess the degree of legal risk and opportunity in a given situation and the ability to develop solutions to mitigate legal risk
- English (written and spoken)
