Responsibilities

We are seeking an experienced Senior Legal Counsel to join our Corporate Governance Team, operating within a complex, multinational group of companies. This role will be critical in facilitating high-level corporate decision-making for boards and shareholders across the group's global entities.

The successful candidate must be comfortable navigating multiple legal frameworks, ensuring compliance with regulatory requirements across different jurisdictions, and collaborating with local legal providers for complex matters.

This is a hands-on role that requires ownership of legal processes, decision-making, and leadership within the corporate legal function. The role also involves potential team management and oversight of outsourced legal services.

Board and Shareholder Decision-Making: Facilitate and document board and shareholder resolutions, along with any supporting documents, across multiple jurisdictions related to:

• Appointment and removal of directors and other officers.
• Approval of contracts and other transactions (as may be required by corporate rules). 
• Intra-group financing matters (issuance of additional shares, capital contributions, loans).
• Amendments to companies’ main corporate documents, such as the Articles of Association (AoA).
• Other matters requiring corporate body resolutions.

External Counsel Management:

• Engage and manage external legal counsel in different regions for complex legal matters related to the functions described above.
• Balance in-house vs. outsourced legal work to optimise costs and efficiency.

Leadership & Team Management:

• Potentially manage a small team of legal professionals.
• Provide guidance and mentorship to junior legal staff.
• Foster a collaborative and results-driven legal team environment.

Requirements:

• Legal professional with extensive experience in corporate law.
• Significant experience working across multiple jurisdictions, particularly in Europe, MENA, the Americas, and APAC.
• Deep understanding of corporate governance, company law, and regulatory requirements in various legal systems.
• Strong experience with board/shareholder governance, intra-group financing, and corporate structuring.
• Experience in regulatory compliance for multi-jurisdictional entities, particularly in regulated industries.
• Ability to work autonomously, make decisions, and drive results in a fast-paced environment.
• Experience managing external legal providers.
• Business level proficiency in English or above (equivalent to B2 or above in CEFR) 
  

Nice to have:

• Previous experience in a regulated industry (e.g., financial services, fintech, or another compliance-heavy sector).
• Experience leading or mentoring legal teams or junior colleagues.
