Currently, we are looking for a Lead Legal Counsel

Location: Limassol (Cyprus) or willing to relocate to Cyprus

Employee reports to: CEO 

Role overview: The Lead Legal Counsel role involves overseeing all legal matters for the company, with a focus on structuring gambling businesses across multiple jurisdictions. As the company's first in-house legal expert, the Lead Legal Counsel will manage critical areas such as pre-and post-sales due diligence for acquisitions, legal aspects of financial transactions, and compliance with gambling regulations.

Responsibilities:

• Oversee the legal structuring and compliance for gambling operations within various jurisdictions.

• Handle pre- and post-acquisition due diligence, ensuring smooth legal and financial integration.

• Advise on legal issues surrounding company registration, tax planning, and maintenance, with a particular focus on Cyprus and other key jurisdictions (Ukraine, Curaçao, Isle of Man, Nzwani, Malta, Gibraltar).

• Secure gambling licenses and ensure compliance with local laws..

• Draft and negotiate complex financial agreements, including SAFE contracts, derivatives, and convertible loans.

• Provide legal counsel on international tax matters and corporate structuring.

• Collaborate with internal and external teams, leading the legal workflow and guiding stakeholders through complex legal matters.

Requirements:

• Legal degree from a top-tier Ukrainian or foreign university

• 5+ years of experience in either: big law firms / legal boutiques / top-tier international companies;

• Experience with gambling-related issues is a must

• Experience with company registration/incorporation/ maintenance/tax optimization and tax planning in Cyprus is important, experience with other jurisdictions (Curaçao, Isle of Man, Nzwani, Malta, Gibraltar, Isle of Man) will be a plus

• Strong knowledge of international tax and corporate issues;

• Solid experience with derivatives, SAFE contracts, convertible loans and payment structuring 

• Fluent in legal/business English;

• Advanced drafting skills;

• Team leadership experience will be a plus

• Strong interpersonal, and communication  skills and the ability to lead and manage workflows across various levels, both internally and externally
