We are looking for a Legal Counsel with strong corporate law expertise and experience in managing legal entities across multiple jurisdictions. This role is ideal for a legal professional with a background in iGaming, M&A, or legal operations within multinational environments.

This role is remote, for candidates in Warsaw, Poland - hybrid work format is expected.

Responsibilities:

  • Oversee the legal lifecycle of group entities across various jurisdictions, including incorporations, annual compliance, internal approvals, and closures
  • Prepare and manage corporate documentation such as shareholder and board resolutions, powers of attorney, UBO declarations, share transfers, and director appointments
  • Act as the main legal liaison for external administrators, company secretaries, regulated intermediaries, and registered agents
  • Provide legal support for international restructurings, new entity formations, and reorganization projects
  • Maintain governance registers, KYC files, group structure charts, and signatory authority records for all active entities
  • Coordinate internal approval processes and contribute to the development of efficient governance and decision-tracking workflows
  • Respond to internal stakeholder inquiries regarding legal structures, signatory rights, company control, and document validity

Requirements:

  • Languages proficiency: fluent/native level of Ukrainian, strong drafting, communication, and legal writing skills in English
  • Legally qualified in a civil or common law jurisdiction, with a minimum of 4 years of relevant experience in corporate law, M&A, or legal entity management
  • Solid understanding of common law systems, preferably with hands-on legal experience in the UK jurisdiction.
  • Deep understanding of corporate governance, international structuring, and company law
  • Proven experience coordinating legal activities with third-party service providers and managing sensitive corporate matters
  • Familiarity with beneficial ownership transparency requirements, KYC/AML obligations, and legal implications of nominee, trust, or fiduciary structures
  • High level of professional discretion and sound judgment when handling confidential or sensitive business matters
  • iGaming / gambling experience is preferred
