Organization

Invest International opened its doors in October 2021, in The Hague. We are a state-owned company set up by the Dutch government. A private company funded with public capital. We are a new organization and are continuously developing. Our people are aligned with our mission and our 7 people drivers guide the way we work together.

Legal team

The Legal Counsel Finance will be part of the Legal Department. The Legal Department currently consists of 5 lawyers covering a wide variety of legal matters (such as procurement law, administrative law, privacy, sanction and anti-money laundering rules, transaction advice on debt and equity transactions, and state aid rules). The Legal Counsel reports to the Head of Legal who in turn reports to the CFRO. The CFRO together with the two co-CEOs constitute the Management Board of Invest International. On a transaction basis, the Legal Counsel will be part of the deal team and actively involved in a transaction.

The position

The legal counsel Finance has the following responsibilities:

• Providing in-house legal advice (i.e. reviewing, drafting, negotiating, and advising) on (international) loan and security documentation (LMA standard loan agreements), project financing, investment and export finance for impact investments as well as financial restructurings and recovery actions;

• Review and advise on other contracts that need to be reviewed, such as NDAs, LOIs and MoUs;

• Coordinating the closing of transactions and legal topics with external parties and law firms;

• Pro-actively monitor and advise on legal developments, jurisprudence and/or new legislation/ regulations relevant to Invest International’s activities;

• Maintain and keep the know-how and templates for the loan documentation up to date;

• Monitor the quality of the state aid analyses made by the front office on a transaction basis. Liaise with external counsel in case of more difficult state aid dilemmas;

• On a case-by-case basis, activities are outsourced to different law firms; assignment, monitoring and quality controls lie within the Legal Department;

• When potential legal issues arise, provide legal advice within the organization including financial restructuring and recovery processes; and

• Safeguard Invest International’s values at the core of its activities.

Requirement and characteristics

• Strong affinity with the mission and vision of Invest International;

• University (administrative/ civil) law degree, like LLB or LLM;

• At least 3 years of solid background in banking and finance law, as a lawyer in private practice (advocaat), civil servant, or in-house legal counsel; private contract law knowledge is a must ((LMA) loan and guarantee documentation). Experience with typical LMA standard loan agreements is a must and experience with the Export finance type is highly appreciated;

• Solid knowledge of private law in general, and more specifically in up-to-date in-depth knowledge of contract law, Dutch Civil Law and/or English law;

• Experience in drafting legal documents, and opinions, independently and effectively managing and monitoring legal (framework) conditions;

• Ability to understand new environments swiftly, how it actually works including the interrelationships, and adapt in order to ‘get things done’;

• You place value in processes and procedures yet aim at results that favour the business in the short and long term;

• Flexibility in dealing with ambiguity and resilient with adversity;

• Strong networking and relation-building skills taking into account different needs, interests, and cultural backgrounds;

• Analytical and persuasive, creative, decisive, result-driven, eye for detail;

• Focus on cooperation with colleagues going by a can-do-mentality; and

• Excellent communication skills in at least English and Dutch (written and verbal).

What we offer

• 12 months contract for 36 or 40 hours per week with potential to extend afterwards.

• Salary scale 17. This indicates a monthly salary range between €5.901 and €7.376, excluding holiday allowance and 13th month based on a 40-hour workweek. Also, we offer a contribution-free pension plan, NS business card 1st class, laptop, and phone.
