Regional Legal Counsel

Summary

Reporting  to the Group General Counsel, the Americas Legal Counsel will be in charge of general assistance on all relevant legal matters in day-to-day business activities of Calderys group in the northern part of EMEA region, relating to:

Responsibilities

Commercial:

• Drafting and negotiation of commercial agreements (supply, agency, distribution, R&D co-development, confidentiality agreements, IP licenses agreements, etc.).
• Drafting, negotiation and/or review of complex project contracts and related agreements in the context of large industrial projects.
• Ensuring general legal support and advice on all other business issues to internal clients (e.g. sales, purchasing, industrial operations, engineering, R&D, finance).

Litigation/Insurance:

• Assistance on follow-up of claims/lawsuits, including related to product liability.

Corporate:

• Providing company secretary support (directly or through local external counsel) for the legal entities based in EMEA region.
• Development and sharing of legal expertise in transversal matters with the other members of Calderys legal team.

Requirements :

• quality and reliability of legal analysis and advice;
• willingness and ability to work in an international environment;
• didactical and business oriented approach when discussing with internal clients;
• capacity to work hard and autonomously with a satisfactory degree of resistance to stress; 
• mutual fit and understanding with and confidence of the General Counsel and team player with the other in-house lawyers.
• At over 15 years of solid and successful  broad-based legal experience as in house legal or law firm. 
• International exposure in education or professional experience, knowledge of professional USA, Brazil, Mexico and Canada is a plus
• Excellent legal education and first high-quality professional experience, coupled with superior communications skills, creative problem-solving ability and a strong general business orientation are essential qualifications.
