Description

For our Corporate Legal & Governance Team, we are recruiting a Senior Legal Counsel, with experience in corporate and business law in an international environment. The job is based in Luxembourg or in Duisburg (DE).

Reporting to the Head of Legal Recycling & Renewable, you will be responsible for providing legal support to Aperam Alloys and Recycling divisions on a broad range of legal issues and jurisdictions from the conception up to the implementation of projects such sourcing, commercial partnerships, development projects and external growth.ย

Responsibilities

Business advisory :

  • Assessing legal risks, identifying solutions in collaboration with our business partnersย 
  • Reviewing and negotiating a wide range of complex and tailored commercial contracts (commercial, joint development agreements) and advising during the implementation phase of the contracts and projects
  • Assisting the R&D teams on research and development projects
  • Collaborating closely with the businesses teams in reaction with related matters such as compliance matters (e.g. competition law, economic sanctions).
  • Handling contract-related disputes, pre-litigation and litigation, follow-up with external counselsย 
  • Providing legal support for any business initiatives and projects across Europe, Asia, North America.

Management advisory :

  • Overseeing internal restructuring projects worldwide, with the support of external lawyers.
  • Acting as legal project manager for M&A transactions.

Risk and Governance:

  • Delivering training to business teams on key legal risks and compliance matters.ย 
  • Anticipating and addressing compliance risks, in close collaboration with the Compliance Officer, and drafting relevant policies to mitigate them.
  • Contributing to legal risk mapping for Aperam Group
  • Continuously enhancing Aperamโ€™s contract templates, legal policies, procedures and training materials through collaborative tools.ย

Qualifications
  • Postgraduate Law Degree (Master 2), ideally completed by a business degree or international qualification.
  • Minimum 7 years of professional experience, ideally within an industrial company and with significant international exposure.
  • Fluency in English and French; Dutch is considered a key asset. Additional language skills (Portuguese, German) are a plus.
  • Experience in competition law would be an added advantage.
  • Engaged, self-motivated team player with problem-solving skills, creativity, and empathy (able to understand business needs and ability to act as a true business partner).
  • Capable of managing a wide variety of projects and working autonomously.
  • Customer-oriented and proactive team player with the ability to work collaboratively in cross-functional teams.
  • Excellent communication and interpersonal skills, with the ability to build strong relationships with key stakeholders (in particular with non-lawyers).
  • Ability to align legal expertise with commercial and strategic business objectives.
