DNO ASA is looking for an experienced Senior Legal Counsel to strengthen the Corporate Legal team in Oslo.

This role will support the Middle East Business Unit in relation to contractual, legislative, regulatory and risk management issues affecting DNO’s business (from both a commercial/strategic and operations perspective).

An important focus will be commercial agreements and contracts for an international upstream operation with relatively high complexity. 

Beyond this, other relevant areas are operational aspects, corporate governance, compliance, M&A, asset transactions, employment law, etc.

Regular travel between Norway/Kurdistan/UAE will be required.

Key Responsibilities

Commercial

  • Advice, drafting and negotiating work related to general oil and gas commercial contracts, non-disclosure agreements, contracts with third party service providers, oil/gas sales agreements, construction agreements joint operating agreements.

Operations

  • Advice in relation to upstream oil and gas operational issues, including interpreting licence terms, joint operating agreements, regulatory requirements and applicable laws.

Business Development

  • Advice in relation to oil and gas transactions, including drafting, negotiating and advice in relation to general transaction documentation such as non-disclosure agreements, terms sheets, letters of intent, support and commitments letters.
  • Drafting, negotiating and advising in relation to share and asset purchase agreements, farm-ins and asset divestments, joint operating agreements, decommissioning security agreements (to the extent applicable).

Projects

  • Project management, legal advice and negotiation support in corporate and operational projects. 

Other responsibilities:

  • Creating standard form documentation to improve internal legal efficiencies.
  • Oversee compliance advice as needed under applicable laws and requested by the Group General Counsel/Chief Compliance Officer.
  • Manage the engagement of external counsel.
  • Manage contractual claims and disputes.

Required Qualifications & Experience

Law degree from an accredited law school in the UK and active member in good standing of the bar.

  • Minimum 5 -10 years of law firm/inhouse experience, including oil and gas experience in relation to the above listed areas of responsibilities.
