About the job:

Key Responsibilities:

 

1.    Subsidiaries Corporate Management

 

Structure and pilot corporate legal activities of more than 65 subsidiaries in 43 countries worldwide. This role involves providing expert legal advice and guidance on corporate law matters to support local legal teams, interacting also with global and local Finance teams (Accounting, Treasury and Tax) and external legal counsels

 

·       French Subsidiaries Corporate Management

-          Manage in full autonomy French affiliates corporate activities and act as the reference point in French company law matters.

-          Draft documentation and provide legal advice on internal restructurings relating to French legal entities.

-          Advise on topics relating to delegations of powers and signature.

·       Worldwide Subsidiaries Corporate Management

-          Act as the primary point of contact for our local legal teams to drive corporate law matters and provide legal expert guidance on corporate matters, from to day-to-day to complex operations.

-          In the context of internal legal restructurings, lead legal support and liaise with local internal and/or external counsels.

-          In his/her role, provide effective, execution-oriented legal support, to ensure the achievement of business and finance goals while mitigating legal risk and keeping the interests of Opella at the forefront.

-          Ensure Opella subsidiaries comply with Group policies and instructions, including in relation to annual approval of accounts, distribution of dividends and board composition.

-          Design and implement new ways of working for the management of corporate matters coordinating with internal legal teams and external counsels/service provider, applying strong cash management discipline.

-          Share and promote good practices across jurisdictions on corporate matters within our network of internal lawyers and animate this network.

2.    Sustainability Reporting

·       Provide legal analysis and support on sustainability reporting obligations at Group level.

·       Spot legal trends on sustainability reporting obligations.

·       Answer ad-hoc questions on sustainability obligations.

 

3.    Finance Operations

·       Provide legal support on finance operations, including on parent company guarantees and bank guarantees, cash management, debt financings or other financial arrangements.

 

Stakeholders:

  • Cross-functional collaboration: work closely with various stakeholders, including Finance (tax, treasury, accounting and insurance teams), People & Culture and Regulatory teams, both at Global and Local level to align legal advice with business and finance objectives.

  • Close collaboration with internal legal teams worldwide to ensure smooth and efficient interactions.

  • Management of external law firms and corporate services providers striving to cost efficiency and discipline.

 

About you

  • Qualifications: French Master’s degree in Law (Master 2, LL.M. or equivalent), with a specialization in Company Law.

  • Experience: Minimum of 7–10 years of experience in a corporate legal department or law firm, with significant exposure to international group structures and exposure to financial transactions.

  • Technical skills: strong knowledge in company law and experience in restructuring operations; in complex transactions, ability to strive for simplification and efficient execution; thoughtful risk taker with sound judgement.

  • Soft skills: excellent communication and interpersonal skills, with the ability to work in a multicultural environment and cross functions; adaptable and comfortable with ambiguity and risk and excited by dynamic change.

  • Fluent in French and English.
